Toronto continues to be the center for Canadian commercial activity, such that as businesses are launched or seek to expand, they are invariably seeking a more prominent presence in Toronto. This is a reality that commercial landlords are very aware of and the result is that commercial leases in Toronto, Ontario are probably some of the most stringent and restrictive from a legal perspective, the world over (by comparison, lease arrangements in major US cities at higher rates and/or for considerably greater lease space, rely upon lease agreements that are a mere one-quarter to one-half the length of a typical Toronto commercial lease agreement). This makes the significance of legal counsel for commercial tenants in Toronto all the more important.

As such, I must reiterate one of my most frequent points of consideration that I provide to prospective commercial tenants, and that is to obtain legal counsel prior to signing off on the Offer to Lease. For the reality that no one seems to properly tell prospective tenants, is that they should get the input of an experienced leasing lawyer prior to committing to the Offer to Lease, because the Offer becomes a legally binding agreement once signed and the big Lease Agreement that follows is simply an expanded version of the Offer, with the tenant having effectively committed to its terms (subject to minor inconsistencies, if any, that simply need to be corrected) and there really is little room to alter or negotiate the terms of the commercial lease arrangement at that point in time.
